1. Introduction

These Terms of Service ("Terms") govern your access to and use of Directlee ("Directlee", "we", "us", "our") and related websites, dashboards, APIs, and services (collectively, the "Services").

By creating an account, completing onboarding (including accepting these Terms), or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity.

2. Definitions

  • Customer / you: the person or entity that registers for Directlee.
  • Workspace: a team space in Directlee with its own billing, connected channels, leads, and automations.
  • End User / Lead: a person who interacts with you through connected platforms (e.g. Instagram DM, Messenger, TikTok, landing page forms).
  • Platform APIs: third-party services such as Meta (Instagram, Facebook, Messenger), TikTok, and payment or email providers.
  • User Content: automations, flows, messages, tags, notes, landing pages, and other data you upload or generate in the Services.

3. Accounts and security

  • You must provide accurate registration information and keep it updated.
  • Directlee uses social login (Instagram, Facebook, TikTok, Google) for platform connections. We do not store your Instagram, Facebook, or TikTok passwords. We store connection credentials provided by those platforms, encrypted at rest where configured (see Security in our Privacy Policy).
  • You are responsible for safeguarding your Directlee login credentials and for all activity under your account.
  • You must notify us promptly of unauthorized access.

4. Workspaces and team members

Directlee supports workspaces with role-based access (owner, admin, manager, agent). The workspace owner controls billing, connections, and member invitations. Team members act under the workspace owner's instructions. See Data Processing Addendum for processing of End User data on your behalf.

5. Acceptable use

You agree not to use Directlee to:

  • send spam, bulk unsolicited messages, or messages outside applicable platform messaging windows;
  • violate Meta, Instagram, Facebook, Messenger, TikTok, or other Platform API terms and policies;
  • harvest data without lawful basis or platform permission;
  • impersonate others or misrepresent your identity;
  • distribute malware, attempt unauthorized access, or reverse engineer the Services except where law permits;
  • use the Services for unlawful, harmful, or abusive purposes.

We may suspend or terminate access for violations or platform enforcement actions affecting your connected accounts.

6. Platform compliance

Directlee integrates with third-party messaging platforms. Your use must comply with:

  • each platform's Terms of Service and developer/API policies;
  • Standard Messaging Window rules (e.g. 24-hour window for Instagram/Messenger standard messages; TikTok DM limits where applicable);
  • marketing and broadcast rules (e.g. Meta marketing message tags, opt-in requirements).

If a platform restricts or revokes your access, related features may stop working. Directlee is not responsible for third-party platform changes, outages, or enforcement.

7. Plans, billing, and limits

  • Plans (e.g. Starter, Premium, Enterprise) define usage limits (leads, automations, flows, broadcast recipients). Limits are enforced per workspace and may change in the Plan Settings admin configuration.
  • Paid subscriptions are processed by Stripe. By subscribing, you authorize recurring charges according to the selected plan and billing interval.
  • Trials, friend-invite promotional access, and overage (pay-as-you-go leads where enabled) are described at checkout and in-product.
  • You may upgrade, downgrade, or cancel according to in-app billing controls. Refunds follow our published policy and applicable law.
  • Failure to pay may result in downgrade, feature restriction, or suspension.

8. Intellectual property

  • Directlee retains all rights in the Services, software, branding, and documentation.
  • You retain rights in your User Content. You grant Directlee a limited license to host, process, and transmit User Content solely to provide the Services.
  • Feedback you provide may be used without obligation to you.

9. Service changes

We may modify, suspend, or discontinue features to comply with law, platform policies, security, or product improvement. We will use reasonable efforts to notify you of material changes affecting paid Services.

10. Termination

  • You may stop using Directlee at any time and delete your account from Settings (Danger zone). Workspace owners may delete a workspace separately where offered.
  • We may suspend or terminate your account for breach of these Terms, non-payment, fraud, or legal requirement.
  • Upon termination, your right to access the Services ends. Data deletion is described in our Data Deletion page and DPA.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTLEE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted delivery of messages, platform API availability, or specific business results.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTLEE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR THIRD-PARTY PLATFORMS.

Our aggregate liability for claims relating to the Services is limited to the greater of (a) amounts you paid Directlee in the twelve months before the claim, or (b) [PLACEHOLDER: statutory minimum if required by law].

13. Indemnification

You will indemnify and hold Directlee harmless from claims arising from your User Content, your messaging to End Users, your violation of these Terms, or your violation of Platform API policies, except where caused by Directlee's intentional misconduct.

14. Governing law

15. Changes to these Terms

We may update these Terms. We will post the revised Terms with a new effective date. Continued use after the effective date constitutes acceptance where permitted by law.
